Barcelona, 21 January 2025. The Board of Directors of RocaJunyent has approved the appointment of four new partners. They are Pilar Baltar, Juan Cuenca, Carlos Cabeza de Vaca and Isaac Arroyo, who will strengthen the areas of Labour, Compliance, M&A and Urban Planning.

Juan Cuenca is a partner in the Corporate department in Barcelona. He will lead the development of the Compliance area, bringing his experience to consolidate the firm's position. Juan has extensive experience in providing legal advice to companies, both national and multinational, in structural modification operations, sale and purchase of companies, joint ventures, corporate restructurings and commercial agreements. In the area of corporate compliance, she advises companies on the adoption of good corporate governance measures and the implementation of legal compliance management systems.

Pilar Baltar is a partner in the labour and employment department in Barcelona. She will focus on driving international matters and expanding the client portfolio in the public sector. For the past 15 years, Pilar has been advising private and public sector companies, both national and international, on personnel management and legal defence in labour disputes. She is a specialist in transnational operations and labour compliance, and regularly collaborates with universities and business schools, such as ESADE and the Abat Oliba CEU University.

In June 2024, RocaJunyent strengthened its position in the legal market with the acquisition of DJV, a firm renowned for its expertise in urban planning, procedural and commercial law. Carlos Cabeza de Vaca and Isaac Arroyo, who now join as partners, come from DJV, bringing their experience and expertise to RocaJunyent. This integration not only broadens the firm's range of services, but also reinforces its commitment to excellence and innovation in legal advice. The incorporation of these professionals underlines RocaJunyent's strategy of integrating high-level talent to consolidate its leadership in the sector.

Isaac Arroyo, an expert in urban planning, joins RocaJunyent to lead the firm's expansion in this area. He currently advises on urban planning matters, contentious-administrative proceedings, administrative proceedings, licences, advice to Compensation Boards, drafting of reports, real estate agreements, urban management, urban planning discipline, and advice on environmental and renewable energy matters, including photovoltaic plants and wind farms.

Carlos Cabeza de Vaca, a specialist in mid-market M&A, will strengthen this area from Madrid, consolidating the firm's presence in this market. His experience covers the different areas of business law, mainly commercial law. He advises companies in the technology, real estate and consumer sectors on M&A transactions and financial restructuring. He is the secretary of the governing bodies of various companies and foundations. In addition, he coordinates the activity of foreign law firms in international matters affecting companies with transnational interests.

These decisions reflect RocaJunyent's commitment to the promotion and search for internal talent and excellence.

ley orgánica 1/2025

Organic Law 1/2025 of 2 January on measures for the efficiency of the Public Justice Service

14/01/2025

The recent Organic Law 1/2025 (the "lo 1/25"), establishes a series of modifications that affect the traditional conception of the process and that, according to the explanatory memorandum, are aimed at modernising the judicial system to make it more accessible and efficient. However, these changes require a redefinition of the procedural action of the parties by establishing new requirements for the initiation of legal proceedings.

In the present text we will analyse the most relevant aspects of this new regulation which aims to reform the Spanish judicial system with the objective of improving efficiency, reducing the workload of the courts while promoting the use of Appropriate Methods of Dispute Resolution ("ADR").

This new regulation provides for a modification of the organisation of the judicial system and introduces a series of procedural efficiency measures aimed at reducing litigation.

Although various legislative aspects have been reformed, perhaps the most relevant change, and the one to which we will mainly refer, is the strengthening of ADR, which has gone from being voluntary and optional tools to become genuine procedural requirements in certain civil and commercial matters.

In other words, ADR will continue to be characterised by traditional principles such as good faith, but will no longer be voluntary in the traditional sense.

Resumen de sentencias judiciales relevantes: novedades en condiciones laborales y derechos de los trabajadores en 2024

Summary of relevant court rulings: developments in working conditions and workers' rights in 2024

10/01/2025

In this information alert, we provide a summary of several recent court rulings, handed down between November and December 2024, which address key issues in the field of employment. These decisions, issued by the Supreme Court and the High Courts of Justice of Madrid and Galicia, address issues such as supplementary compensation in cases of unfair dismissal, working hours and non-compliance with anti-harassment measures. Through these rulings, important implications for employers and workers are outlined, as well as the current interpretations of the labour regulations in force in Spain. In addition, some legislative developments of great relevance in social matters are also introduced.

New jurisprudential developments

Judgment of the Supreme Court of 19 December 2024 (rec. no. 2961/2023)

In this judgment, the Supreme Court rules on whether in cases of unfair dismissal it is possible to recognise compensation in addition to that legally established in article 56 ET (33 days' salary per year of service), by virtue of article 10 of ILO Convention 158. This latter provision establishes that if a judicial body considers that the termination of an employment contract is unjustified and the reinstatement of the worker is not possible, the judicial body may order the payment of "adequate compensation or such other relief as it deems appropriate". In the case in question, the dismissal of the worker had been classified as unfair by the High Court of Catalonia, so that, the company having opted for the compensation option, it was entitled to compensation of €941.78 under Article 56 ET. The High Court held that this amount did not constitute "adequate compensation" within the meaning of Article 10 of ILO Convention 158, and therefore awarded additional compensation of €3,493.30 (€4,435.08 in total). In its judgment, the Supreme Court states that ILO Convention 158 allows domestic legislation to determine what it means by "adequate compensation". In this sense, the Supreme Court considers that the fixed severance pay of Article 56 ET is compatible with the "adequate severance pay" of ILO Convention 158. Therefore, it states that it is not possible, by virtue of that legislation, to recognise an additional compensation to that of unfair dismissal that takes into account other potential particular damages associated with the dismissal. In any event, the Supreme Court states that it has not taken into account the European Social Charter in order to rule on this appeal because it was ratified by Spain after the date of the worker's dismissal. That standard also recognises "the right of workers dismissed without valid reason to adequate compensation or other appropriate redress".

Judgment of the Supreme Court of 21 November 2024 (rec. no. 281/2022)

The Judgment further examines the issue of the Company's refusal to allow the accumulation of time credit to the unitary representatives of the FASGA Union, who belong to different workplaces of the Union, when other trade union organisations are allowed to accumulate such credit. Specifically, the Company only allows the accumulation of such time credit to the unitary representation of those Unions which are represented on the Intercentre Committee. The Chamber of the Supreme Court determines that neither article 68.a) of the ET, nor the applicable collective bargaining agreement, conditions the accumulation of time credits to those trade unions that are represented on the Intercentre Committee, nor does it limit its exercise to the unitary representation of the same Works Council of a given work centre . This confirms the judgment of the National High Court, which declared the violation of the fundamental right to freedom of association and ordered the company to pay compensation of 6,000 euros.

Judgment of the Supreme Court of 27 November 2024 (rec. no. 88/2023)

In the context of a collective dispute, the Labour Division of the Supreme Court ruled that the period spent by workers travelling from their homes to the first client for whom they provide services, as well as the time spent returning home from the last client for whom they have provided services, should be counted as working time. Faced with this conflict, the Supreme Court, after carrying out an exhaustive analysis of previous rulings in which it had analysed whether or not journeys to the first client and those returning from the last client should be counted as working time, established that, as a general rule, such periods should not be counted as working time, the fact that all the offices have been closed by the employer and previously the time spent travelling between the workplace and the client's workplace was counted as working time, or that the employer has to travel up to 100 kilometres to provide services at the workplace of the first client or to return from the last client, or that there is unjustified differential treatment between groups that provide the same services, so that for some they are counted and for others they are not.

Judgment of the Tribunal Superior de Justicia de Galicia of 8 November 2024 (rec. núm. 4188/2024)

In this judgment, the High Court of Justice of Galicia analyses a damages award for non-compliance with the anti-harassment measures agreed after the application of a protocol. Specifically, it had been agreed to avoid the coincidence of the two workers. However, the SCJ understands that the protocol was misapplied. Firstly, because when the working timetables for the years 2022 and 2023 were sent to both persons, there were several overlaps on paper, and the harassed person was obliged to report the overlap and manage the situation to prevent it from occurring. Secondly, because there were two physical coincidences in the same shift, although without incident between the two persons. The SCJ understands that these two situations represent a violation of the moral integrity of the worker (article 15 EC) by the company for not respecting the agreed protocol and sentences the company to compensate the victim of harassment with €20,000.

Judgment of the High Court of Justice of Madrid of 4 December 2024 (rec. no. 648/2024)

This judgment of the High Court of Justice of Madrid rules that there is an unlawful transfer of workers between Som Tec Consultants SL and Robert Bosch España SL, applying the doctrine of the Court of Justice of the European Union in Case C-441/23 (Omnitel case). In this case, the employees of Som Tec, led by a coordinator, provided technological assistance services on the premises of Robert Bosch. The Madrid Supreme Court held that the requirements of a "provision of services" were met between the two companies, since although Som Tec had some control over the workers (periodic reports, setting of timetables and holidays), it was Robert Bosch which effectively exercised the company's functions. In this sense, the relevance of the judgment focuses on the fact that the SCJ of Madrid understands that when it is a case of subcontracting where the added value is the workforce and there is a provision within the meaning of Directive 2008/104/EC, there is an illegal transfer within the meaning of article 43 ET, unless this provision is carried out by a temporary employment agency. Accordingly, in the present case, the Court finds that there has been an unlawful transfer and that the dismissal is unlawful, with the consequences arising therefrom.

Relevant tax changes 2024/2025 - New developments introduced by the Senate

23/12/2024

On 4 December we published our Information Alert "Relevant tax modifications 2024/2025" in which we analysed the text approved on 21 November by the Plenary of the Spanish Congress of Deputies in relation to the Draft Law establishing a Complementary Tax to guarantee an overall minimum level of taxation for multinational groups and large national groups.

As we mentioned, apart from the regulation of the aforementioned Complementary Tax, the text incorporated a set of parliamentary amendments that had nothing to do with it and which affected a wide range of taxes.

This package of amendments constituted, as the government indicated at the time, a package of tax reform measures, in its view, certainly relevant.

As corresponds to the parliamentary procedure, the document approved by Congress was sent to the Senate for processing and, once the modifications to the text approved by the aforementioned parliamentary chamber had been incorporated, it was returned to Congress for final approval. This took place on 20 December, and the Law was published in the Official State Gazette of 21 December under number 7/2024.

There is little to add to what we have already said in our Information Alert of the 4th. All the amendments approved by the Congress and commented on by us have been approved without any kind of modification. Only three novelties introduced by the Senate have merited the final approval of the Congress of Deputies.

Challenges in AML for Fintechs

18/12/2024

Nearly all Fintechs are subject to AML/CTF regulations (Law 10/2010, of 28 April, on the Prevention of Money Laundering and Terrorist Financing, and its Regulation, Royal Decree 304/2014). This is because they operate as credit institutions, payment institutions, investment service companies, or providers of virtual currency exchange services for fiat currency and electronic wallet custody, among other activities. However, surprisingly, many of these Fintechs are not fully aware of their status as obliged entities or the responsibilities this entails.

Non-compliance with these obligations poses a significant issue for Fintechs, given the potential impact on their businesses. It is not just about the financial penalties stipulated by the regulations, which can amount to millions or even lead to the closure of regulated activities, but also the reputational damage that could deter shareholders, banks, suppliers, and even potential customers.

Notably, the Ministry of Economy, Trade and Business, and the Treasury Department highlighted in their Addendum to the National Risk Analysis 2024 that the use of technological innovations in financial operations is one of the top five vulnerabilities in the prevention of money laundering and terrorist financing.

AML/CTF regulations impose on obliged entities the responsibility to ensure their services are not used for money laundering or terrorist financing and to identify operations indicative of these crimes.

Current challenges: General obligations for Fintechs regarding AML/CTF

While new European regulations have been published this year, which will be discussed further, they are not yet applicable.

El Colegio Notarial de Catalunya galardona a Miquel Roca Junyent con el Premio Puig Salellas

The Notarial Association of Catalonia awards Miquel Roca Junyent with the Puig Salellas Award

29/11/2024

Barcelona, 29 November 2024. The Notarial Association of Catalonia has awarded the Puig Salellas Prize to the renowned jurist Miquel Roca Junyent, a key figure in the drafting of the 1978 Spanish Constitution and the 1979 Statute of Autonomy of Catalonia. This award, the institution's most prestigious, recognises his outstanding career in the field of law.

Now in its sixteenth year, the Puig Salellas Prize has reaffirmed its aim of rewarding those who have demonstrated outstanding role in the study, research, creation, teaching or application of law in Catalonia.

The ceremony, held at the headquarters of the Notarial Association of Catalonia, began with a minute's silence in solidarity with the victims and those affected by the DANA. Chaired by the President of the Generalitat, Salvador Illa, the event was attended by prominent figures from the political, legal and notarial spheres.

During his speech, Salvador Illa stood out the contribution of Miquel Roca Junyent to the constitutional and autonomic framework: ‘The Spanish Constitution cannot be understood without the spirit of concord and the intelligence to bring together points of view, democratic needs and consensus that Miquel Roca Roca was able to capture in its pages. Nor can we understand the Statute of Autonomy, which has given Catalonia the most self-government, the most progress and the greatest social welfare in our history, without Miquel Roca's vision of the country’.

The Dean of the Notarial Association of Catalonia, José Alberto Marín, praised the award winner's career, highlighting his style of practising law based on dialogue and consensus: ‘Setting the red lines of a negotiation and superimposing them on those of the other party in order to find a common space in which to initiate dialogue is the most outstanding of his many virtues. His example must serve all jurists to progress along this path’.

For his part, Joan Carles Ollé Favaró, former dean of the Notarial Association, gave a glossa of the figure of the award winner, highlighting his contribution to constitutional and civil law, as well as his role as a lawyer and professor: ‘The Puig Salellas prize has been awarded to him for the merit of his very relevant legal career, especially for his constitutionalist facet and his contribution to the Statute of Autonomy.’

On receiving the award, Miquel Roca Junyent expressed his gratitude and paid tribute to Josep María Puig Salellas, the figure after whom the award is named: ‘For me, Josep María Puig Salellas was a point of reference in the Catalan legal world, as well as a friend and colleague. To receive an award that bears his name is very moving and allows me to remember all that we owe to his tenacity and legal quality’.

The Secretary of State for Justice, Manuel Olmedo, stressed the importance of dialogue and peace as tools for progress as a society.

The event was attended by members of the Constitutional Court, the General Council of the Judiciary, the Director General of Legal Security and Public Faith, Ester Pérez, as well as representatives of the national and regional political and legal spheres, including former presidents of the Generalitat and members of the Catalan Parliament.

RocaJunyent awards the 11th Law and Society Prize to the Jacques Delors Institute, represented by Enrico Letta

21/11/2024

The jury of the Law and Society Award has highlighted the contributions of Jacques Delors to the creation of the European Community, reflected in the role of the President of the Institute, and former Prime Minister of Italy, Enrico Letta, who received the award on behalf of the institution.

During the ceremony, the prizes were awarded in the eleventh RocaJunyent Lawyers' Social Responsibility Competition, which recognises the best work carried out by secondary school students on the importance of law as a basis for interpersonal relationships and coexistence in society.

Barcelona, 21 November 2024. RocaJunyent today presented the 11th Law and Society Award, which this year went to the Jacques Delors Institute, in tribute to its founder, who passed away at the end of last year, for his contribution to the creation of the European Community. The prize was collected by the Institute's President, Enrico Letta, former Prime Minister of Italy and author of the influential report ‘Much More than a Market’.

The Jury of the Prize stated that ‘Jacques Delors’ contributions laid the foundations of today's economic and social order, shaping the principles and structures that define our European Union today. As such, his institute remains a living legacy of that vision, providing a space for intellect and debate that is highly valued today. Its President, Enrico Letta, embodies these values, and has been a driving force for change in building a Europe capable of adapting to new social realities’.

This award is part of RocaJunyent's Social Responsibility of the Legal Profession programme. The ceremony was held at the Barcelona Bar Association, and was presided over by Miquel Roca, honorary president of the firm, and Joan Roca Sagarra, executive president of RocaJunyent. The event was attended by authorities from the Generalitat de Catalunya and Barcelona City Council, as well as numerous magistrates, representatives of the legal sector and prominent business leaders.

The President of the Jacques Delors Institute, Enrico Letta, stands out for his contributions to the European Union, reflected in the report ‘Much More than a Market’, commissioned by the Council and the EU Commission. This document sets out a vision of Europe that goes beyond commercial interests and integrates social justice, democratic values and environmental sustainability in its approach. In it, the author devotes special attention to the Social Economy, underlining its fundamental role in strengthening the social dimension of the Single Market.

The Council thus adopted part of its conclusions, consolidating its role as an active agent of change in the current vision of Europe. In this way, Letta embodies the values of the institution he chairs, founded by Jacques Delors, one of the main architects of the euro and the intellectual author of a Europe conceived as a union that transcends the purely economic. Delors, who presided over the European Commission for three terms from January 1985 to the end of 1994, fostered during his tenure a strong commitment to freedoms, social justice and solidarity.

Letta also has a strong political background, including his role in the founding of the Italian Democratic Party, his role as Minister for European Affairs, Minister for Industry, Trade and Craft Trades, and his experience as a Member of the European Parliament.

11th Lawyers' Social Responsibility Competition for Secondary School Students

The event also saw the awarding of the prizes for the eleventh edition of the RocaJunyent Lawyers' Social Responsibility Competition (RSA), a competition that honours the most outstanding work by secondary school students on the importance of law and the impact of the law on everyday life. This RSA project, in which a large majority of the firm's lawyers participate, is carried out through a programme of educational sessions in schools, aimed at students in the third and fourth years of ESO. Since its first edition, the programme has had the participation of nearly 11,000 young people, who have attended more than 500 sessions organised.
